1. Introduction

This Seller Agreement ("Agreement") sets out the terms by which sellers may list products and services on Indiana Marketplace Pvt. Ltd. (the "Platform"). By registering as a seller, you agree to this Agreement.

2. Account & Verification

• Sellers must provide accurate business information (company name, GSTIN, PAN where applicable, address).
• Indiana Marketplace Pvt. Ltd. may require KYC documents. Failure to provide verification may limit access to features.
• Maintain secure access to seller accounts; you are responsible for all activities under your account.

3. Listing Requirements

When creating listings, sellers must ensure accuracy and compliance with applicable laws and platform policies.

• Provide accurate titles, descriptions, images, HS codes, and unit measures.
• Disclose warranties, certifications, and any regulatory compliance information.
• Do not post prohibited or restricted items as defined by platform policy and applicable law.

4. Pricing & Taxes

Sellers are responsible for setting prices and complying with tax laws (GST, income tax, etc.). All prices displayed should include or clearly state applicable taxes according to the chosen display settings.

5. Leads & Enquiries

Leads routed to sellers via enquiries or RFQs are subject to the platform's lead-handling policies. Sellers must:

• Respond to enquiries promptly and professionally.
• Not misuse buyer contact details for unsolicited marketing beyond the scope of the enquiry.
• Keep accurate records of lead conversions for reconciliation purposes.

6. Seller Conduct

Sellers must maintain high standards of conduct. Prohibited behaviours include fraud, false claims, harassment, and misrepresentation.

Violation may lead to suspension or permanent removal from the Platform.

7. Fees & Payments

Platform fees, subscription charges, and lead fees (if any) are set out in your seller dashboard and agreement. Payments are processed via third-party gateways and are subject to their terms and charges.

8. Data & Privacy

Sellers must comply with applicable data protection laws. By listing products, sellers consent to the processing of business and contact information as described in our Privacy Policy.

9. Termination

Indiana Marketplace Pvt. Ltd. may suspend or terminate seller accounts for breaches, illegal activity, or misuse. Upon termination, certain data may be retained for legal or operational reasons.

10. Dispute Resolution

Disputes between buyers and sellers should be resolved directly. Indiana Marketplace Pvt. Ltd. may assist by providing platform records and facilitating communication but does not adjudicate contractual disputes.

11. Intellectual Property

Sellers represent that they own or are licensed to use all content in their listings. Indiana Marketplace Pvt. Ltd. respects intellectual property rights and will remove infringing content upon proper notice.

12. Limitation of Liability

To the extent permitted by law, Indiana Marketplace Pvt. Ltd. is not liable for indirect, incidental, or consequential damages arising from use of the Platform or transactions between buyers and sellers.

13. Governing Law

This Agreement is governed by the laws of India. Any disputes will be subject to the jurisdiction of Indian courts unless otherwise agreed.
